1. Introduction

Welcome to Crestline Equipment, a registered assumed name of Malaya Design LLC, a Texas limited liability company ("Company," "we," "our," "us"). These Terms of Service ("Terms") govern your access to and use of our website located at www.crestlineequipment.com ("Website") and any related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our Services.

2. Eligibility

By using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you and that entity.

3. Accounts and Registration

3.1 Account Creation

To access certain features of the Services, you may be required to create an account. You agree to:

  • Provide true, accurate, current, and complete information during the registration process
  • Maintain and promptly update your account information to keep it accurate and current

3.2 Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

4. Orders and Payment

4.1 Product Availability

All products listed on the Website are subject to availability. We reserve the right to limit the quantities of any products or services that we offer, including limiting quantities per customer, per household, or per order.

4.2 Pricing

Prices for our products are subject to change without notice. We are not liable for any price changes, modifications, or discontinuance of products. All applicable fees, taxes, and shipping costs will be clearly displayed at checkout before purchase.

Pricing Errors: In the event a product is listed at an incorrect price due to a typographical, supplier data, or system error, we reserve the right to cancel or refuse any order placed at that price, whether or not the order has been confirmed and payment collected. Orders cancelled for this reason are refunded in full.

4.3 Payment Terms

Accepted Payment Methods: Visa, Mastercard, American Express, Discover, and Diners Club, as well as Apple Pay and Google Pay. See our Payment Options page for full details.

Payment Processing: Payments are processed securely through Shopify Payments.

Billing Information: You agree to provide current, complete, and accurate billing information.

Business and Institutional Purchasing: Purchase orders, net payment terms, and volume quotes are available only where arranged and confirmed with us in writing in advance. See our Billing Terms and Conditions.

4.4 Order Acceptance

Your order is an offer to purchase. A confirmation email acknowledges receipt of your order but does not constitute acceptance. Acceptance occurs when we ship the order.

We reserve the right to refuse or cancel any order for reasons including but not limited to:

  • Product or service availability
  • Errors in the description or price of the product
  • Suspected fraudulent or unauthorized transactions
  • Orders that appear to be placed for resale, or in quantities inconsistent with normal end use
  • Orders placed for delivery outside the United States

Orders cancelled by us are refunded in full with no fee.

4.5 Backorders

If an item you ordered is backordered, we will notify you within 48 hours with an estimated availability date. You may choose to wait for the item or cancel the order for a full refund.

5. Shipping and Delivery

5.1 Shipping Policy

Please refer to our Shipping Policy for information on our shipping practices, including freight delivery requirements for large equipment.

5.2 Risk of Loss

All purchases are made pursuant to a shipment contract. Risk of loss and title for items pass to you upon our delivery to the carrier.

Notwithstanding the foregoing, as a matter of our own policy we will replace or refund items that are lost or damaged in transit, provided the loss or damage is reported within the timeframes stated in our Shipping Policy and, for freight shipments, that visible damage is noted on the delivery receipt at the time of delivery. This commitment is contractual only to the extent stated in our Shipping Policy and Return and Refund Policy.

6. Returns and Refunds

Please refer to our Return and Refund Policy for information on returns, exchanges, and refunds, including the applicable return window, restocking fee, and reporting deadlines.

7. Intellectual Property Rights

7.1 Ownership

All content on the Website, including text, graphics, logos, images, and software, is the property of Malaya Design LLC or its content suppliers and is protected by intellectual property laws. Manufacturer names, product names, and brand marks appearing on the Website are the property of their respective owners and are used for identification purposes only.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Services to browse, evaluate, and purchase products for your own use or the internal business use of the organization you represent.

7.3 Restrictions

You agree not to:

  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without express written permission
  • Use any meta tags or other hidden text using our name or trademarks without our express written consent
  • Scrape, harvest, or systematically extract product data, pricing, or images from the Website

8. User Content

8.1 Submissions

If you submit or post any content ("User Content") to the Services, including product reviews, questions, photographs, or feedback, you grant us a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, modify, and display such content. You represent that you own or have the right to grant this license.

8.2 Prohibited Content

You agree not to submit any User Content that:

  • Is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or invasive of another's privacy
  • Infringes on any intellectual property or other proprietary rights of any party

We may remove User Content at our discretion, but we are not obligated to monitor it.

Violating Laws and Rights: Use the Services for any illegal purpose or in violation of any local, state, national, or international law.

Disruption: Interfere with or disrupt the Services or servers or networks connected to the Services.

Unauthorized Access: Attempt to gain unauthorized access to any portion of the Services or any other accounts, computer systems, or networks connected to the Services.

10. Disclaimers and Warranties

10.1 "AS IS" Basis

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, expressed or implied, regarding the Services.

10.2 No Warranty

We do not warrant that:

  • The Services will meet your specific requirements
  • The Services will be uninterrupted, timely, secure, or error-free
  • The results obtained from the use of the Services will be accurate or reliable

10.3 Product Information

Product descriptions, specifications, dimensions, capacities, and images are provided by manufacturers and suppliers. While we work to keep this information accurate, we do not warrant that product information on the Website is complete, current, or error-free. Product images are representative and may differ from the item shipped. You are responsible for confirming that a product meets your requirements before purchase, and we encourage you to contact us at support@crestlineequipment.com with specification questions before ordering.

10.4 Product Warranties

Products sold through the Services are covered by the applicable manufacturer's warranty. Warranty terms are set by the manufacturer, not by us, and vary by brand, product line, model, and component. Where terms are available for a specific product, they are stated on that product's page or included in the documentation supplied with the equipment. We do not offer a separate retailer warranty in addition to the manufacturer's warranty. 10.5 Equipment Use and Safety

Commercial cleaning and floor care equipment must be operated in accordance with the manufacturer's instructions, safety guidance, and all applicable workplace regulations. You are responsible for ensuring that operators are properly trained, that appropriate protective equipment is used, and that the equipment is suitable for the surface, environment, and application in which it is used. We do not provide operator training, installation, servicing, or repair.

11. Limitation of Liability

In no event shall Malaya Design LLC, operating as Crestline Equipment, or its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising from:

  • Your use or inability to use the Services
  • Any unauthorized access to or use of our servers or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Services
  • The use, misuse, or performance of any product purchased through the Services, including property damage, business interruption, or equipment downtime

Maximum Liability: Our total liability for any claim arising out of or relating to these Terms or any product purchased through the Services is limited to the amount you paid for the product or service giving rise to the claim.

Statutory Rights: Nothing in these Terms limits any liability that cannot be limited under applicable law, and these Terms do not affect any statutory rights you may have as a consumer.

12. Indemnification

You agree to indemnify, defend, and hold harmless Malaya Design LLC, operating as Crestline Equipment, and its affiliates from any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

  • Your use of and access to the Services
  • Your violation of any of these Terms
  • Your violation of any third-party right, including intellectual property or privacy rights

13. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Termination does not affect any order already accepted, or any refund or warranty rights relating to products already purchased.

14. Governing Law and Venue

These Terms shall be governed and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in the State of Texas, and you hereby irrevocably consent to the personal jurisdiction and venue therein.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time. Changes will be effective immediately upon posting to the Website. It is your responsibility to review these Terms periodically. The Terms in effect at the time you place an order govern that order.

16. Miscellaneous

16.1 Severability. If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in effect.

16.2 Entire Agreement. These Terms, together with our Privacy Policy, Cookie Policy, Billing Terms and Conditions, Shipping Policy, Return and Refund Policy, Cancellation Policy, Payment Options, Warranty Policy, and Disclaimer, constitute the entire agreement between us regarding our Services and supersede any prior agreements.

16.3 Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.4 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
